GENERAL CONDITIONS FOR USE OF THE MAXAM BRAND

MAXAMCORP HOLDING, S.L. (hereinafter "MAXAM") grants a license for use of its registered brand/logo to the authorized individual or entity (hereinafter, AUTHORIZED PARTY), in accordance with the terms and conditions set out herein.

PURPOSE. CONDITIONS OF USE

These General Conditions regulate access to and use of the portal and its contents (hereinafter, the "Portal") by the AUTHORIZED PARTY. The Portal is provided on a website and provides a repository of commercial, communication and marketing activity contents of the different companies which make up MAXAM Group. To this end, contents is understood as referring to this website, applications, databases, trade names, brands, designs, drawings, images, photos, videos, texts, data, information, presentations, press releases, brochures, documents, offers or prices, or any others that are published and made available on the Portal.

Access to the Portal https://www.maxambrandcenter.com and its contents is reserved to the AUTHORIZED PARTY who has been approved beforehand by MAXAM. Accessing and using the contents of the Portal implies express acceptance of these General Conditions. Notwithstanding, use of the contents accessible via the Portal may, at the discretion of MAXAM, be subject to specific and/or individual conditions which may replace, supplement and/or amend the present conditions; in such cases, the updated conditions shall be taken as expressly accepted by the AUTHORIZED PARTY whenever he or she accesses and uses the contents following notification by MAXAM. These General Conditions and, where appropriate, any particular conditions, may be updated and replaced by others, in which case MAXAM will publish the new version on the Portal, informing the AUTHORIZED PARTY of this update by sending an email to the email address provided by the AUTHORIZED PARTY when registering.

MAXAM grants the AUTHORIZED PARTY a NON-Exclusive License of Use, which may be revoked at any time by MAXAM, in order to use the brands, logos, trade names, designs, images, photographs and any other elements and materials which are the exclusive industrial and/or intellectual property of the Companies which make up MAXAM GROUP, for the sole purpose set out in these Conditions of Use and for which he or she has been duly authorized. MAXAM guarantees that the contents of its materials and the information on its products, services, organization and activity sector are accurate and comply with common and specific regulations on products and services, along with all applicable legislation and, in particular, the rules on Intellectual and Industrial Property. The AUTHORIZED PARTY will not acquire any rights on the contents owned by MAXAM which form part of the website https://www.maxambrandcenter.com. MAXAM grants the AUTHORIZED PARTY a license for use of the Industrial and Intellectual Property Rights which have been authorized by MAXAM. The AUTHORIZED PARTY shall, when exercising the granted license, abstain from associating MAXAM's image or carrying out promotions or advertising campaigns or any other similar activities alongside another mercantile or civil body, whenever such a situation may result in this body associating its image with MAXAM, unless expressly authorized in advance by MAXAM in a certified manner. Whenever such an association harms or may harm MAXAM's interests, the AUTHORIZED PARTY shall be exclusively and directly liable for any damages which may come about as a result of breach of this obligation, in which case it shall hold MAXAM harmless. Should the AUTHORIZED PARTY misuse the brand or logo, MAXAM reserves the right to proceed with any civil and/or criminal actions which may apply. With regards to the granted license, the AUTHORIZED PARTY must strictly comply with all applicable legal provisions deriving from Act 34/1988, of 11th November, on General Advertising, and shall be solely, directly and exclusively liable for the contents exhibited, holding MAXAM harmless and releasing it from any claims, sanctions or sentences which may be filed or issued for these concepts. MAXAM reserves the right to terminate the USER's access to https://www.maxambrandcenter.com whenever it becomes aware of any previous or ongoing breach by the AUTHORIZED PARTY of the present terms and conditions of use or directives issued by MAXAM.

NON-EXCLUSIVITY

PROHIBITION OF SUBLICENSE OR ASSIGNMENT

Any sublicensing or assignment by the AUTHORIZED PARTY to third parties of the brands, logos, trade names, designs, images, photographs, and other names or drawings protected by the Industrial Property Right owned by MAXAM or by any of the Companies within its Group is EXPRESSLY forbidden; should such a situation come about, the AUTHORIZED PARTY and the third party shall be liable for the use made of the sublicensed or assigned material and contents, unless the AUTHORIZED PARTY has been expressly and unequivocally authorized by MAXAM.

OBLIGATIONS OF THE PARTIES

The AUTHORIZED PARTY undertakes to upkeep the good name of MAXAM and its trade name MAXAM©. The AUTHORIZED PARTY undertakes to subject all materials and/or media which involve the presence of the MAXAM brand/logo to MAXAM for approval. The AUTHORIZED PARTY expressly accepts all the terms and conditions of this document, and expressly recognizes MAXAM's exclusive ownership of all the materials subject to the license for use. MAXAM will do all in its power to respond, without any undue delay, to the AUTHORIZED PARTY's request for approval, with the decision on whether to approve the material and/or media presented being at the exclusive discretion of MAXAM, and without the rejection of the request entitling the AUTHORIZED PARTY to any form of compensation.

INTELLECTUAL PROPERTY

MAXAM is the sole owner of the brands, logos, trade names, designs, images, photographs and other names or drawings protected by the Industrial Property Right, in all forms of representation and use, meaning the AUTHORIZED PARTY may not, under any circumstance, alter, adapt, modify or use them for any purposes other than the ones they were envisaged for. Any reproduction, copying, use, distribution, marketing, public communication, transformation or any other type of activity not in line with the purposes authorized is not permitted.

DELIMITATION OF LIABILITY

MAXAM shall not be in any way liable for activities carried out by the AUTHORIZED PARTY, or which may result from material prepared by the AUTHORIZED PARTY containing any intellectual or industrial property element owned by MAXAM. MAXAM shall be exclusively liable to the AUTHORIZED PARTY for Ownership of all intellectual and industrial property rights on the licensed elements. DURATION The brands, logos, trade names, designs, images, photographs and other elements and materials for which MAXAM exclusively holds the industrial and/or intellectual property rights may not, under any circumstance, be used beyond the date they were authorized for.

BREACH

Any breach by the AUTHORIZED PARTY of these terms and conditions of use shall lead to the authorization granted by MAXAM for access to the contents at www.brandcenter.MAXAM.es being revoked, without prejudice to any liabilities, both contractual and extracontractual, which may derive from any possible breach of intellectual or industrial property rights and in defence of MAXAM's interests. SECURITY AND PROTECTION OF PERSONAL DATA Registration for the services as a registered user

The website https://www.maxambrandcenter.com can only be accessed by REGISTERED USERS. The details used to fill out the Registration Form are provided freely and voluntarily, and must be true and accurate. The USER undertakes to act with diligence and to not give his or her username and password to third parties, and also to inform MAXAM at the earliest opportunity should they be lost, stolen or compromised. When registering as a USER, the USER expressly and unequivocally agrees to his or her personal details and/or any other details provided to be processed in an automated or manual manner.

Protection of personal data

MAXAM guarantees the security and confidentiality of all personal details provided by the USER of www.brandcenter.MAXAM.com, in accordance with the provisions of Act 15/1999, of 13th December, on the Protection of Personal Data. The personal details will be collected and processed solely to meet the website conditions of use and to comply with legal obligations. The details the USER is asked to fill in in the website forms are compulsory unless otherwise indicated. MAXAM will not be able to process any forms in which compulsory USER details are missing. All details obtained are subject to security measures and a privacy policy approved by MAXAM in accordance with legislation in force at each moment. Whenever personal details for individuals other than the person completing the registration are included, the user must ask all such persons for their express consent and inform them of the contents of this clause, in accordance with that set out in Article 5.4 of Act 15/1999, on the Protection of Personal Data, or any other regulations that replace it.
